10. Arbitration Agreement

PLEASE READ THIS ARBITRATION AGREEMENT CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

By purchasing products from Styron Ag Parts, LLC, whether through www.styronagparts.com (the “Site”) or otherwise, you agree that any dispute, claim, or controversy arising out of or relating to your purchase or use of products or services from the Company (a “Dispute”), shall be resolved exclusively through binding arbitration, rather than in court, except as otherwise provided herein.

10.1 Agreement to Arbitrate

Any Dispute shall be resolved exclusively and finally by binding arbitration, pursuant to the Federal Arbitration Act (9 U.S.C. §§ 1–16), and administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules then in effect, unless otherwise mutually agreed in writing.

10.2 Scope

This agreement to arbitrate applies broadly to all Disputes, including but not limited to claims arising under federal, state, or local statutory or common law, contract, tort, fraud, misrepresentation, product liability, or any other legal or equitable theory, regardless of when the Dispute arose.

10.3 Procedures

• Arbitration shall be conducted in North Carolina, unless otherwise agreed.
• A single, neutral arbitrator licensed to practice law in North Carolina shall conduct the proceedings and be selected according to AAA rules.
• The arbitrator shall have exclusive authority to resolve all issues relating to the interpretation, enforceability, scope, and formation of this arbitration agreement.
• Discovery shall be limited and proportionate to the size and complexity of the Dispute.
• Judgment on the arbitration award may be entered in any court having jurisdiction.

10.4 Costs of Arbitration

Arbitration fees and costs shall be allocated in accordance with the AAA Commercial Arbitration Rules. Each party shall bear its own attorneys’ fees and expenses unless the arbitrator determines otherwise under applicable law.

10.5 Waiver of Jury Trial and Class Actions

YOU AND THE COMPANY EXPRESSLY WAIVE ANY RIGHT TO A TRIAL BY JURY and agree that all claims shall be brought only in your or our individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator shall not have the power to consolidate claims or award class-wide relief.

10.6 Small Claims & Injunctive Relief Exception

Either party may bring an individual action in small claims court in North Carolina if the claim qualifies. Either party may also seek temporary or preliminary injunctive relief from a court of competent jurisdiction in North Carolina to preserve the status quo pending arbitration.

10.7 Severability

If any provision of this arbitration agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.

10.8 Incorporation by Reference

This Arbitration Agreement is incorporated by reference into these Terms and shall survive termination of your use of the Site or any purchase made thereon.

11. Changes to Terms

We may update or modify these Terms at any time. Changes will be posted on the Site with a revised “Last Updated” date. Your continued use of the Site or purchase of products after such changes constitutes your acceptance.
